1. Scope and customers

These terms govern the supply of Tallyra by NORD INVEST, SAS with share capital of 1 000 €, registered with the RCS Lille Métropole under number 979 078 037.

Tallyra is sold only to customers acting in the course of a trade, business or profession, who confirm this at checkout by ticking a box and giving their VAT number. It is not offered to consumers.

2. The service

Tallyra provides a gender pay gap calculator and documents explaining Directive (EU) 2023/970 and, where they exist, the national laws implementing it. The calculator runs in the customer’s browser: payroll files are not sent to the publisher, which keeps no copy and cannot reproduce a past calculation.

The service is a calculation and documentation tool, not legal advice, and does not guarantee the customer’s compliance. The customer remains solely responsible for its reports.

3. Ordering online

Under Articles 1127-1 and 1127-2 of the French Code civil:

  1. the customer fills in the order form, expressly accepts these terms by ticking a box, and reviews the summary;
  2. until payment is confirmed, errors can be corrected or the order abandoned;
  3. the contract is formed when payment is confirmed; the publisher acknowledges it without delay by email, with these terms on a durable medium;
  4. the contract language is English; the publisher subscribes to no code of conduct.

The customer’s purchasing terms do not apply; conflicting clauses have no effect (Article 1119 Code civil).

4. Subscription, prices and VAT

Access is sold as an annual subscription, paid in full on ordering, by card, with no sales appointment.

  • Up to 99 employees: €99 per month, billed annually
  • 100 to 249 employees: €199 per month, billed annually
  • 250 to 499 employees: €349 per month, billed annually
  • 500 employees or more: €549 per month, billed annually

The tier follows the headcount declared when ordering. If headcount exceeds the subscribed tier, the next renewal is in the corresponding tier.

Prices exclude tax. Where the customer is VAT-registered in another Member State and its VAT number is valid — it is required at checkout and checked in VIES —, the invoice is issued without VAT under the reverse charge (Article 196 of Directive 2006/112/EC). Without a valid number, French VAT applies.

The subscription renews for one year. The customer is notified by email no earlier than three months and no later than one month before the term ends, with the last date for cancelling. Price changes apply from the next renewal and are notified at least two months in advance.

5. Payment and late payment

The price is due on ordering. Late payment automatically bears, under Article L. 441-10 of the French Code de commerce, interest at the European Central Bank’s most recent refinancing rate plus ten percentage points, and a fixed recovery fee of €40 (Article D. 441-5), without prejudice to proven higher costs.

6. No cooling-off, no refund

We would rather write it plainly than let you find out after paying.

The fourteen-day right of withdrawal belongs to consumers only. The annual subscription is not refundable, even if unused; cancelling mid-term ends the renewal but does not refund the current term.

If the service is unavailable for more than seven consecutive days through the publisher’s fault, the term is extended accordingly, without prejudice to the customer’s other rights. An invoice issued twice is refunded.

7. Cancellation

The customer may cancel at any time through the contact form or at contact@tallyra.co, effective at the end of the current term. The publisher may terminate for non-payment persisting fifteen days after an unanswered formal notice, or for use clearly contrary to these terms.

8. Liability

Save for wilful misconduct or gross negligence, the publisher’s liability is limited to the amounts paid by the customer in the twelve months before the event, without depriving its essential obligation of substance (Article 1170 Code civil). Only direct and foreseeable loss is recoverable (Articles 1231-3 and 1231-4 Code civil).

9. Law and jurisdiction

French law applies. The Tribunal de commerce de Lille Métropole, France, has exclusive jurisdiction under Article 25 of Regulation (EU) No 1215/2012.
